In short
- HIPI is decision-support — a human is responsible for every hiring decision; Angela never rejects a candidate on her own.
- You must use the Service lawfully and fairly, keep candidate disclosures and consents in place, and comply with the PDPA, TAFEP guidelines, and the Workplace Fairness Act.
- You own your data; you grant us a limited licence to process it to run the Service.
- The Service is provided “as is”, liability is capped, and these Terms are governed by Singapore law.
1Agreement to these Terms
These Terms of Service ("Terms") form a binding agreement between HIPI Pte. Ltd. ("HIPI", "we", "us", or "our") and you, and where you act for an organisation, that organisation ("you", "your", or "Customer"). They govern your access to and use of hipi.com and our AI co-worker platform and related services (the "Service"). The recruiting co-worker, "Angela", is live today; additional co-workers are governed by these Terms as they become available.
By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If a separate signed agreement or order form exists between you and HIPI, that agreement prevails to the extent of any conflict.
2Definitions
| Service | The HIPI website, AI co-worker platform, its co-workers (including "Angela", the recruiting co-worker), APIs, and related services. |
| Customer | The organisation that registers for and uses the Service to recruit. |
| Authorised User | An individual the Customer permits to access the Service (e.g., a recruiter). |
| Candidate | A job applicant the Customer screens through the Service. |
| Customer Data | Data the Customer or its Authorised Users / Candidates submit to the Service. |
| Output | Scores, rationales, shortlists, messages, and other results generated by the Service. |
3The Service & decision-support nature
HIPI provides an AI recruiting co-worker that ingests applicants, screens them against a role specification, communicates with candidates, schedules screens, and produces ranked, explained shortlists.
The Service is decision-support only. Output is a recommendation, not a decision. You are solely responsible for reviewing Output and for all hiring decisions. Angela discloses she is an AI, offers a path to a human, and does not make final rejection or hiring decisions autonomously.
4Eligibility & accounts
- You must be at least the age of majority and able to form a binding contract.
- You must be authorised to act for any organisation you register and to bind it to these Terms.
- You are responsible for the accuracy of account information and for keeping credentials confidential.
- You are responsible for all activity under your account and your Authorised Users, and must notify us promptly of any unauthorised use.
5Data roles & relationship
For Candidate data processed through the Service, the Customer is the controlling organisation and HIPI acts as a data intermediary (processor) under the PDPA. The Customer is responsible for establishing a lawful basis for the Candidate data it brings to the Service, providing required notices, and obtaining required consents. We process Candidate data in accordance with these Terms and our Privacy Policy.
6Acceptable use
You agree not to, and not to permit others to:
- Use the Service other than for lawful recruiting purposes.
- Discriminate against candidates on protected grounds, or use the Service in a way that breaches fair-employment requirements.
- Submit unlawful, infringing, or special-category data without a lawful basis.
- Reverse engineer, decompile, scrape, or attempt to derive source code, except as permitted by law.
- Interfere with, overload, or disrupt the Service or its security features.
- Resell, sublicense, or provide the Service to third parties except your Authorised Users.
- Use the Output to build a competing product or to train a competing model.
7AI output & human oversight
AI Output may be incomplete, inaccurate, or unsuitable for a given purpose, and may vary between runs. You must apply independent human judgement before acting on Output. You are responsible for maintaining AI disclosures to candidates, capturing consent, offering a human alternative, and keeping a human in the loop for decisions — features the Service is designed to support but which you must operate appropriately.
8Compliance with employment & data law
You retain responsibility for compliance with all laws applicable to your recruiting, including the PDPA, TAFEP Tripartite Guidelines on Fair Employment Practices, the Workplace Fairness Act, and the principles of Singapore's Model AI Governance Framework, as well as any laws applicable where your candidates are located. HIPI is a tool and is not a substitute for legal advice or your own human judgement.
9Customer data & licence
As between the parties, you own all Customer Data. You grant HIPI a worldwide, non-exclusive, royalty-free licence to host, copy, process, and transmit Customer Data solely to provide, secure, and improve the Service and as otherwise described in our Privacy Policy. You represent that you have the rights and lawful basis to provide Customer Data and to grant this licence. We may use aggregated, de-identified data that does not identify you or any individual to operate and improve the Service.
10Third-party services
The Service integrates with third-party services (e.g., job boards, ATS, SMS, calendar, and model providers). Your use of those services is governed by their terms, and we are not responsible for them. Enabling an integration authorises us to exchange Customer Data with it as needed to provide the Service.
11Fees, billing & taxes
Paid plans are billed as described on our pricing page or your order form. Unless stated otherwise: fees are quoted exclusive of GST and other applicable taxes, which you are responsible for; subscriptions renew for successive periods unless cancelled before renewal; and fees paid are non-refundable except where required by law. We may change pricing on prospective notice, effective at your next renewal.
12Trials, demos & beta features
We may offer free trials, demos, or features identified as beta or preview. These are provided "as is", may be changed or withdrawn at any time, and may be subject to additional terms. They are excluded from any service commitments and warranties to the maximum extent permitted by law.
13Intellectual property
The Service, including its software, models, designs, "Angela", the HIPI name and logo, and all related intellectual property, is owned by HIPI or its licensors and is protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or obligation.
14Confidentiality
Each party may access the other's non-public information ("Confidential Information"). The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and contractors bound by confidentiality. This does not apply to information that is public, independently developed, or rightfully obtained without restriction, or where disclosure is legally required.
15Disclaimers
To the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and any warranty as to accuracy, ranking quality, or hiring outcomes. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Output will be accurate or suitable for your purposes.
16Indemnification
You will defend, indemnify, and hold harmless HIPI and its officers, employees, and agents from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service or Output, including any hiring decision; (c) your breach of these Terms; or (d) your violation of any law or the rights of a candidate or third party.
17Limitation of liability
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. HIPI is not liable for hiring decisions made by users of the Service.
Each party's total aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the fees you paid to HIPI for the Service in the twelve (12) months before the event giving rise to the claim, or (b) SGD 100. Nothing in these Terms excludes liability that cannot be excluded by law.
18Term, suspension & termination
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access immediately if you breach these Terms, fail to pay fees, or where necessary to protect the Service, other users, or comply with law.
On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period where reasonably practicable, after which we may delete it in line with our Privacy Policy. Sections that by their nature should survive (including ownership, confidentiality, disclaimers, indemnity, limitation of liability, and governing law) survive termination.
19Changes to the Service or Terms
We may modify the Service to improve it or for legal or security reasons. We may also update these Terms; material changes will be posted here with a revised "last updated" date and, where appropriate, notified to account holders. Continued use after changes take effect constitutes acceptance of the updated Terms.
20Force majeure
Neither party is liable for failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, outages, network or third-party-provider failures, labour disputes, or governmental action.
21Governing law & disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Singapore, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or Confidential Information.
22General
- Entire agreement. These Terms and the documents referenced in them are the entire agreement between the parties on this subject.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is unenforceable, the rest remains in effect.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Notices. We may give notices via the Service or to your account email; legal notices to us should be sent to legal@hipi.com.
- Relationship. The parties are independent contractors; these Terms create no agency, partnership, or joint venture.
